Germany's Merck KGaA has agreed to acquire Bio-Techne Corporation for approximately $11.3 billion in cash, marking the company's largest acquisition in more than a decade and signaling a major strategic bet on the booming life sciences tools market.

The deal, announced last week, values the Minneapolis-based Bio-Techne at a significant premium to its trading price and is expected to close by late 2026 or early 2027, pending regulatory approvals.

Building a Life Sciences Powerhouse

Bio-Techne brings substantial scale to Merck's life sciences division. The American company manufactures more than 6,000 proteins and 425,000 antibodies used by researchers worldwide. These products are essential tools for drug discovery, diagnostics, and the development of cell and gene therapies.

Beyond its catalog of research reagents, Bio-Techne has built leading positions in spatial biology—the study of how cells are organized in tissues—and precision diagnostics. These are among the fastest-growing segments in life sciences, driven by advances in cancer research and personalized medicine.

Why Merck Is Paying Up

For Merck KGaA, this acquisition fills critical gaps. The Darmstadt-based company has been seeking to strengthen its life sciences business, which provides tools and materials to pharmaceutical and biotech customers. Bio-Techne's product portfolio and customer relationships offer immediate scale in markets where Merck has been smaller than competitors.

The spatial biology capabilities are particularly valuable. As cancer researchers increasingly focus on the tumor microenvironment—understanding not just which cells are present but how they are arranged—the demand for spatial analysis tools has surged. Bio-Techne's platforms in this area are considered among the best available.

A Transformative Deal

This is Merck's biggest acquisition since its $17 billion purchase of Sigma-Aldrich in 2015, which itself was transformative for the company's life sciences division. That deal established Merck as a major player in laboratory supplies and chemicals. The Bio-Techne acquisition extends that position into higher-value specialty products.

The transaction is being funded entirely with cash and debt, with Merck committed to maintaining its investment-grade credit rating. Management has indicated that deleveraging will be a priority following the deal's closure.

Industry Consolidation Continues

The acquisition reflects a broader trend of consolidation in the life sciences tools sector. With pharmaceutical companies outsourcing more research activities and demand for advanced diagnostics growing, tool makers have become attractive targets for larger players seeking growth.

Just last week, AbbVie announced a $10.9 billion deal to acquire Apogee Therapeutics, highlighting how major healthcare companies are deploying capital for strategic acquisitions. The Merck-Bio-Techne combination suggests this M&A activity will continue.

What It Means for Customers

For researchers and pharmaceutical companies that rely on Bio-Techne's products, the acquisition promises continuity with potential benefits. Merck's global distribution network and manufacturing expertise could improve product availability and potentially reduce costs over time.

The combination also creates a more comprehensive supplier for life sciences customers, who often prefer working with fewer vendors that can meet multiple needs. As research becomes more complex and interdisciplinary, integrated offerings become more valuable.

The deal now enters its regulatory review phase. Given the complementary nature of the two companies' businesses, antitrust approval is expected, though the process will take several months to complete.
