Tempus AI to Acquire Personalis for $1.5 Billion in AI Cancer Diagnostics Push

Tempus AI announced Monday that it will acquire Personalis in an all-stock deal valued at approximately $1.5 billion to $1.7 billion, marking one of the most significant consolidation plays in the rapidly evolving precision oncology sector.
Under the terms of the agreement, Tempus will acquire all outstanding shares of Personalis at $16.25 per share, representing a 6% premium to Personalis' July 17 closing price and a 28% premium to its unaffected 30-day volume-weighted average price. The transaction, expected to close by late 2026 or early 2027, will give Tempus control of Personalis' NeXT Personal cancer detection test and its molecular residual disease (MRD) technology.
A Strategic Fit
The acquisition unites two companies operating at the intersection of artificial intelligence and cancer diagnostics. Tempus, headquartered in Chicago, uses AI to analyze clinical and molecular data to advance precision medicine. Personalis has developed tumor-informed testing technology that helps detect whether cancer has returned after treatment—a critical capability for oncologists managing patient care.
Tempus was already Personalis' largest shareholder, having first invested in the company in 2023 and accumulating a 12.5% stake before the acquisition announcement. The deal represents a natural consolidation of that relationship.
"The acquisition will expand Tempus' multimodal data and AI platform to advance cancer monitoring and deepen insights across the patient journey," Tempus said in a statement. By integrating MRD technology with its existing clinical data infrastructure, Tempus aims to offer more comprehensive oncology solutions to healthcare providers.
The MRD Opportunity
Molecular residual disease detection has emerged as one of the most promising frontiers in cancer care. MRD tests can identify trace amounts of cancer DNA in a patient's blood after treatment, potentially catching recurrence months before traditional imaging or symptoms would reveal it.
